General Terms and Conditions
Govern the use of the NeuraPay platform between LegaFund AG and our B2B users.
1. Parties
The operator of the NeuraPay platform is LegaFund AG, Basteiplatz 5, 8001 Zurich, Switzerland ("LegaFund", "we"). Contact: support@lega-fund.com.
2. Scope and B2B clarification
These General Terms and Conditions / Terms of Use ("Terms") govern the use of the NeuraPay platform, the website neurapay.ai and the related services.
3. Services
NeuraPay provides a software solution for receivables management, dunning, collection support and related AI-assisted analytics and communication services. The specific scope of services results from the individual order form or order confirmation.
Individual functions and integrations may be available to differing degrees depending on the plan booked. Access to certain functions may require a valid KYC onboarding.
4. Registration and account
Use of the platform requires the registration of a company account. You undertake to provide correct and complete information and to update any changes without delay. You are responsible for the confidentiality of your access credentials and for all actions taken under your account.
5. Permitted and prohibited use
You may use the platform exclusively within the scope of these Terms, the applicable statutory provisions and our technical documentation. In particular, the following activities are prohibited.
Interference with technical integrity. Reverse engineering, decompilation, disassembly or any attempt to circumvent technical security, access or usage measures is prohibited, unless expressly permitted by mandatory law (for example Art. 21 Swiss Copyright Act for interoperability purposes).
Automated bulk access. Automated, script-based or otherwise programmatic access to the platform is only permitted through the programming interfaces (APIs) that we have released and documented, and only within the respective rate limits. Scraping, crawling or comparable access via the web interface is not permitted.
Abusive purposes. The platform must not be used to collect claims that are manifestly unlawful, time-barred or constructed in an abusive manner. In particular, any use that infringes the Swiss Anti-Money Laundering Act (AMLA), the Swiss Unfair Competition Act (UCA), the Swiss Consumer Credit Act or applicable sanctions regimes is prohibited.
Specially protected data of third parties. You must not input specially protected personal data of third parties within the meaning of Art. 5 lit. c revFADP or Art. 9 GDPR (including data concerning health, biometrics, religion or sexual orientation) into the platform unless you have a sufficient legal basis and, where required, the explicit consent of the data subject.
Misuse of the AI components. Any misuse of the Nura chat or of further AI components (e.g. Atlas AI) is prohibited, in particular prompt-injection attacks, attempts to extract system prompts, targeted circumvention of safety policies, and any use of the AI to generate legal, tax or medical advice that is to be forwarded unreviewed to end customers.
6. Prices, payment and taxes
Prices result from the individual contract or the current price list. Unless otherwise stated, all prices are exclusive of statutory VAT. Invoices are payable within 30 days of the invoice date without deduction.
In the event of default, default interest pursuant to Art. 104 CO and dunning fees may be claimed.
7. Term and termination
Contract term and notice periods are governed by the respective individual contract. Ordinary termination rights are set out therein. The right to extraordinary termination for good cause remains unaffected.
8. Data protection and data security
The processing of personal data by LegaFund is governed by our privacy policy. To the extent we process personal data of your customers on your behalf, we enter into a data processing agreement (DPA) with you.
9. Intellectual property
All rights in the platform, the related content and the visual design remain with LegaFund AG or the respective rightsholders. The trademarks used on the platform (in particular NeuraPay™, Atlas AI™ and NuraAgent™) are the property of their respective trademark owners and are made available to LegaFund AG for use under a separate licence agreement. You receive a personal, non-transferable and non-exclusive right of use within the scope of these Terms and the respective individual contract; no rights beyond that are granted to you.
10. AI components (Nura, Atlas)
The platform and this website employ AI components (e.g. Nura chat, Atlas AI). AI outputs are generated to the best of our knowledge but may contain inaccuracies. You may not use AI outputs without review as legal, tax or financial advice.
11. DSA contact point
Insofar as the Digital Services Act (Regulation (EU) 2022/2065) becomes applicable to our services, we designate the following contact point for authorities and users under Art. 11 / 12 DSA: dsa@lega-fund.com. Communication languages: German, English.
12. Liability
LegaFund's liability for slight negligence is excluded to the extent permitted by law. Liability for auxiliary persons is waived within the statutory limits (Art. 101 CO). Liability for intent and gross negligence and mandatory statutory liability remain unaffected.
Liability for lost profit, indirect or consequential damages is excluded to the extent permitted by law.
13. Amendments
We are entitled to amend these Terms. We will notify you of material changes with reasonable advance notice (at least 30 days). If you do not object within this period, the amended Terms shall be deemed approved. In the event of timely objection, we are entitled to terminate the contract on an ordinary basis.
14. Final provisions
Should individual provisions of these Terms be invalid, the validity of the remaining provisions shall remain unaffected. Any transfer of rights and obligations by you to third parties requires our prior written consent.
15. Applicable law and jurisdiction
Swiss law applies exclusively, to the exclusion of the UN Sales Convention. The exclusive place of jurisdiction is Zurich, unless mandatory statutory provisions provide otherwise.
